Terms of Service

1. Acceptance

By purchasing, downloading, deploying or otherwise using OwnStack, or by using the cleverlittleschoolhouse.com website, you agree to be bound by these Terms. If you do not agree to them, please do not use the website and do not buy or use OwnStack.

If you are agreeing to these Terms on behalf of a business or other organisation, you confirm that you have the authority to bind it, and "you" means that organisation. You must be at least 18 years old and able to enter into a binding contract.

2. The product and your licence

OwnStack is a commerce software stack that you deploy to your own accounts with third-party providers such as Cloudflare, Stripe and Resend, and then run for your own business. It brings together a checkout with order bumps and one-click upsells, a CRM with automated email sequences, sales pages, link and revenue attribution, social-proof popups, testimonial collection, a website, one admin panel, and Meta ads tooling. Once deployed, the software and the data it holds live in your accounts, not ours. We do not host your store or run your business for you.

Your licence

When you buy OwnStack, we grant you a licence to install, deploy, use and modify OwnStack for your own business or businesses. This licence is for your own use. You may not resell, redistribute, sublicense, rent, lease or lend the OwnStack software itself, and you may not repackage or make it available to others as a product, template or service, whether free or paid. Building websites, sales pages and stores for your own businesses with OwnStack is exactly what it is for. If you would like to use OwnStack to build sites for clients, or to distribute it in any way, contact us first to discuss a separate arrangement.

3. Price, payment and taxes

OwnStack is sold as a one-time purchase, not a subscription. The founding price is $97 USD and the standard price is $197 USD. An optional add-on, the Launch Vault, is available for $47 USD. Prices are in US dollars unless clearly shown otherwise at checkout, and the price that applies to you is the one shown when you complete your purchase.

You do not pay us any ongoing subscription. To run OwnStack you will pay your own third-party providers directly for the infrastructure you use, which is typically around $25 per month, and those costs are between you and them.

Payments are processed securely by Stripe. We do not see or store your full card details. By purchasing, you authorise the charge shown at checkout. Prices are exclusive of any taxes unless stated otherwise, and you are responsible for any taxes, duties, GST or VAT that apply to your purchase where required by the law of your location, other than taxes on our own income. Where we are required to collect tax, it will be shown at checkout.

4. Refunds and the 30-day guarantee

Every purchase comes with a 30-day money-back guarantee. If you and your AI cannot get a live checkout working within 30 days of your purchase, email us at hello@cleverlittleschoolhouse.com within that time and we will refund your purchase in full. You do not need to give a detailed reason, though we always welcome feedback so we can improve.

Refunds are issued to your original payment method through Stripe. Once a refund is issued, your licence to use OwnStack and any add-ons ends, and you must stop using and delete your copy of the software. You keep the content, data and customer relationships that are your own.

5. Third-party services and accounts

OwnStack runs on your own accounts with third-party providers, including Cloudflare, Stripe and Resend, and any others you choose to connect. You are responsible for creating, funding and securing those accounts, and for complying with each provider's own terms. Your relationship with each provider is directly between you and them.

Each third-party service is provided by that third party, not by us. We are not responsible for those services, their availability, their pricing, or any act or omission on their part, and your use of them is at your own risk. How these services are used on our own website is described in our Privacy Policy.

6. Referral program

We may offer a referral program that lets buyers earn a commission by referring new customers. If you take part, the following applies in addition to the rest of these Terms:

• Commission. Approved referrers can earn a 40% commission on the main product for qualifying referred sales. The commission applies to the main product only, not to order bumps or upsells.
• Payouts via Stripe Connect. Commissions are paid through Stripe Connect. To receive payouts you must set up and maintain a valid Stripe Connect account and provide the information Stripe requires.
• Held until the guarantee passes. Because every purchase carries a 30-day guarantee, commissions are held and become payable only after the refund window for the referred sale has passed. If a referred sale is refunded or reversed, the related commission is reversed.
• No guaranteed earnings. Taking part does not guarantee any income. What you earn depends entirely on the qualifying sales you actually refer, and may be zero.
• Honest promotion, no fraud. You must promote OwnStack truthfully, make no income or results promises on our behalf, and not refer your own purchases, create fake accounts, spam, or otherwise game the program. You are responsible for your own tax on any commissions you earn.
• Changes. We may change, suspend or end the program at any time. Changes apply going forward and do not affect commissions already earned and payable.

7. Intellectual property

OwnStack, including its software, code, templates, playbooks, prompts, documentation and designs, and the "Clever Little Schoolhouse" and "OwnStack" names and branding, is owned by us or our licensors and is protected by intellectual property laws. Except for the licence granted to you above, all rights are reserved, and you may not reproduce, copy or reuse our content, logos or trademarks without our written permission.

You own the content you create and the data you collect through your own deployment, such as your copy, your products and your customer records. You are responsible for making sure you have the rights to any content, images or materials you use.

8. User conduct

You agree not to use OwnStack, or the cleverlittleschoolhouse.com website, to:

• break any law, or infringe anyone's intellectual property, privacy or other rights;
• sell or promote anything illegal, fraudulent, deceptive or prohibited by your payment or hosting providers;
• send unlawful, unsolicited or deceptive email in breach of anti-spam laws or Resend's terms;
• distribute malware, attempt to gain unauthorised access to any system, or interfere with the security or operation of any service;
• impersonate any person, or misrepresent your identity or your connection with us; or
• resell, redistribute or republish the OwnStack software in breach of your licence.

9. Disclaimer of warranties

Except for any guarantees that cannot be excluded under the laws that apply where you live (including, for Australian consumers, the Australian Consumer Law), OwnStack and the website are provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not warrant that OwnStack will be error-free or uninterrupted, or that it will meet every requirement of your particular business.

10. Limitation of liability

Nothing in these Terms excludes or limits any right or remedy you have that cannot lawfully be excluded under the consumer laws of the country where you live (for Australian consumers, this includes the Australian Consumer Law). The limits below apply only to the extent the law allows.

You are responsible for how you set up, run and apply OwnStack in your business, and you assume that responsibility. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data or business opportunity, arising out of or in connection with OwnStack or these Terms. To the maximum extent permitted by law, our total liability arising out of or in connection with OwnStack and these Terms is limited to the amount you actually paid us for OwnStack.

11. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Clever Little Schoolhouse and its owner and suppliers from and against any claims, liabilities, losses and reasonable expenses (including legal costs) arising out of or connected with your use or operation of OwnStack, the products, services or content you sell or publish through it, your dealings with your own customers, your participation in the referral program, or your breach of these Terms or of any law. This does not apply to the extent a claim arises from our own breach of these Terms or our unlawful conduct.

12. Changes to these Terms

We may modify these Terms at any time. When we do, we will change the "Last updated" date at the top of this page, and the updated Terms take effect when they are posted. Changes apply going forward and do not reduce the refund rights attached to a purchase you have already made. If you keep using OwnStack or the website after a change takes effect, you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria. This does not deprive you of the protection of any mandatory consumer laws of the country where you live. If a dispute arises, please contact us first at hello@cleverlittleschoolhouse.com so we can try to resolve it quickly and in good faith.
